    Volkswagen Faces Board Opposition Amid Major Turnaround Plan

    Volkswagen’s supervisory board is set to convene on September 4 to deliberate on a significant restructuring proposal amid internal and external opposition.

    Volkswagen’s supervisory board will meet to discuss a comprehensive turnaround plan, which has sparked contention between management, labor representatives, and the state of Lower Saxony, its second-largest shareholder. The management’s proposal includes doubling job cuts, potential factory closures, and divestitures, which have prompted counter-proposals aimed at preserving jobs and facilities. The board, where labor and Lower Saxony hold a majority, previously rejected a similar plan in July. Should the upcoming proposal face rejection, management may resort to calling an extraordinary general meeting (EGM) to seek direct approval from shareholders, a move that diverges from Germany’s consensus-driven corporate governance. However, the Volkswagen Law mandates that significant corporate actions require over 80% shareholder approval, complicating management’s strategy despite potential support from Porsche SE and other investors.
